7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW, IN NO EVENT SHALL ANTHONY'S COAL FIRED PIZZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUPPLIERS, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
  • LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITIES, OR ANTICIPATED SAVINGS;
  • DAMAGES ARISING FROM YOUR INABILITY TO ACCESS OR USE THE WEBSITE OR SERVICES;

IN ALL CASES, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE WEBSITE OR SERVICES SHALL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD), OR (B) THE TOTAL AMOUNT YOU PAID TO US IN THE THIRTY (30) DAYS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE LIMITATIONS IN THIS SECTION APPLY WHETHER THE LIABILITY ARISES IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL OR EQUITABLE THEORY, AND EVEN IF ANTHONY'S COAL FIRED PIZZA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Certain states, including New Jersey and California, do not allow certain limitations of liability. If you are a resident of such a state, the above limitations may not apply to the extent prohibited by applicable law.

8. Indemnification

You agree to defend, indemnify, and hold harmless Anthony's Coal Fired Pizza, its parent companies, subsidiaries, affiliates, officers, directors, shareholders, employees, agents, contractors, licensors, and successors from and against any and all claims, demands, actions, liabilities, losses, damages, costs, and expenses — including reasonable attorneys' fees and court costs — arising out of or relating to:

10. Dispute Resolution

10.1 Informal Resolution

We will attempt to resolve the dispute informally within thirty (30) days of receipt of your notice. If we are unable to resolve the dispute within that period, either party may proceed to formal dispute resolution as described below.

10.2 Binding Arbitration

EXCEPT AS OTHERWISE PROVIDED HEREIN, ANY AND ALL DISPUTES, CLAIMS, OR CONTROVERSIES ARISING OUT OF OR RELATING TO THESE TERMS, THE WEBSITE, OR THE SERVICES — INCLUDING QUESTIONS OF ARBITRABILITY — SHALL BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (AAA) UNDER ITS CONSUMER ARBITRATION RULES, WHICH ARE AVAILABLE AT www.adr.org.

The arbitration shall take place in the United States, in a location mutually agreed upon by the parties or as determined by the AAA. The arbitrator shall have the authority to award any remedy available at law or in equity. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

10.3 Class Action Waiver

10.4 Exceptions to Arbitration

Notwithstanding the foregoing, the following disputes are excluded from binding arbitration and may be brought in court:

  • Claims for injunctive or equitable relief to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights;
  • Claims that may be brought in small claims court, provided they remain in individual and small claims court proceedings;
  • Claims arising from violations of the Computer Fraud and Abuse Act or similar statutes.

10.5 Waiver of Jury Trial

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND ANTHONY'S COAL FIRED PIZZA EACH WAIVE ANY RIGHT TO A JURY TRIAL IN CONNECTION WITH ANY ACTION OR LITIGATION ARISING OUT OF THESE TERMS OR THE SERVICES.

11. Term and Termination

11.1 Term

These Terms become effective upon your first access to or use of the Website or Services and shall remain in full force and effect for as long as you continue to access or use the Website or Services, unless earlier terminated in accordance with these Terms.

11.2 Termination by You

In such circumstances, our obligations shall be suspended for the duration of the force majeure event, and we shall use commercially reasonable efforts to resume normal operations as soon as practicable.

18. Severability

If any provision of these Terms is found by a court of competent jurisdiction or an arbitrator to be unlawful, void, invalid, or unenforceable for any reason — whether in whole or in part — that provision shall be deemed severed from these Terms and shall not affect the validity or enforceability of the remaining provisions. The severed provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms shall continue in full force and effect.

The parties further agree that if any portion of the class action waiver in Section 10.3 is found to be unenforceable, the entirety of the arbitration agreement in Section 10.2 shall be void and the parties shall litigate their disputes in the courts designated in Section 9.

These Terms of Service, together with our Privacy Policy and any other legal notices or policies published by us on the Website, constitute the entire agreement between you and Anthony's Coal Fired Pizza with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, understandings, representations, and warranties — whether written or oral — between you and Anthony's Coal Fired Pizza relating to the same subject matter.
